END USER LICENSE AGREEMENT (EULA) — CutForge Converter > DRAFT — have a lawyer review before use (Slovak: NÁVRH — pred použitím nechať skontrolovať právnikom) > > Working draft. Items in {{double braces}} must be filled in (seller details). Items marked [OPEN: …] and [PROPOSAL: …] are decisions that have not been made yet. The list of questions for the lawyer and the mismatches with the website and the program are in EULA_poznamky.md (Slovak). Version: 0.1 (draft) · Date: 10 October 2026 · English translation for information only. The Slovak text is binding (Art. 20). --- The most important points in brief *This is only an overview so that you know what the agreement is about. The full text below is binding.* 1. The program converts DXF drawings into NC1 (DSTV) files for CNC lines. It does so automatically and can make mistakes. Check every NC1 file before production (Art. 6). 2. Your drawings stay on your computer. They go to our server only when you yourself click “Send for processing” and give your consent (Art. 8 and 9). 3. The licence covers the number of computers stated in it. The program verifies it online when activated and then silently about every 12 hours; without internet it keeps working for up to 30 days (Art. 5). 4. A subscription renews automatically; you can cancel at any time and it runs to the end of the paid period (Art. 10). 5. Our liability is limited — we are not liable for wasted material, stopped production or lost profit (Art. 13). 6. Qt and PySide6 components are under the LGPL v3 licence and this agreement does not restrict your rights under it in any way (Art. 15). --- 1. Parties and formation of the agreement 1.1 Provider (“we”): Matúš Beňo, registered office Antona Prídavka 4849/22, 080 01 Prešov, Slovensko, company ID (IČO) 43088686, tax ID (DIČ) 1076264662, VAT ID (IČ DPH) SK1076264662 (registered under §7a of the Slovak VAT Act; not a VAT payer), registration: Trade Register of the District Office Prešov, No. 750-27226. 1.2 Customer (“you”): a business (company, sole trader) that has installed the Program or to which a Licence has been issued. 1.3 The Program is intended for businesses and for business purposes only. It is not intended for consumers. If you are a consumer, do not install the Program and contact us. 1.4 The agreement is formed when (a) you click “I agree” during installation, or (b) you activate the Program with a licence key or use the Trial for the first time, or (c) you confirm your agreement with these terms when ordering through the website. The person confirming agreement declares that they are authorised to act on behalf of the Customer. 1.5 This agreement applies together with the order, invoice or licence certificate. If we agree otherwise in a written order or offer, that agreement prevails. The Customer’s own general terms do not apply. 2. Definitions - Program — CutForge Converter for Windows, including updates and documentation. - Drawing — a DXF file containing a 2D drawing of a steel part. - NC1 — a file in DSTV format (.nc1) which the Program creates from a drawing. - Computer — one physical or virtual computer running Windows on which the Program is activated or used. - Licence — the right to use the Program under Art. 4. Licence key — a code in the form CF-XXXX-XXXX. - Trial — free use without a licence key within the scope of Art. 4.3(a). - Server — the Provider’s servers at api.cutforge.eu (in the European Union). - Service — “Send for processing” under Art. 9. - Paid period — the period for which the Licence has been paid. 3. What the Program does and does not do 3.1 The Program loads a drawing, recognises the profile, length, holes, cut-outs and cutting angles, cross-checks them against the dimensions and texts in the drawing (self-check) and saves an NC1 file for CNC saw, drill and cutting lines. It can also export plates to DXF and create PDFs. 3.2 The Program reads drawings automatically. The part statuses (✓ done, ⚠ to check, ✗ manual) and warnings serve for quick sorting. They are not a guarantee. The ✓ status only means that the automatic checks found no inconsistency; it does not mean that the NC1 is correct or suitable for your machine. 3.3 The Program does not read the DWG format. Save the drawing as DXF in your CAD program. The Program is not a design or structural analysis program and does not assess the design or load-bearing capacity of a part. 3.4 We do not guarantee compatibility with your particular machine (control software, NC1 variant) — try a few parts first. The names of machine manufacturers are trademarks of their owners; the Program is not affiliated with them in any way. 3.5 Viewing drawings and parts in the Program is free without limit. A Licence or the Trial is required to save NC1 files and export plates. 4. Licence 4.1 Scope. We grant you a non-exclusive, non-transferable and non-sublicensable licence to use the Program for your own internal business purposes on the number of Computers stated in the Licence (one Computer unless stated otherwise). Worldwide, subject to Art. 17. 4.2 Who may use the Program. Your employees and persons who work for you and under your control, solely for your needs. You may use the Program to convert drawings for your production, including orders for your customers. You may not offer it to third parties as a stand-alone service (converting drawings for payment as an activity in its own right, making the Program available to several entities over a network). [OPEN: confirm commercially that this is what we want] 4.3 Types of licence. a) Trial — free, no licence key, 30 different drawings per Computer. Every drawing from which you save an NC1 or export plates counts towards the limit (a drawing is identified by the SHA-256 fingerprint of its content). Saving the same drawing again does not count. The counter is also kept on the Server; reinstalling the Program or Windows does not reset it. The Trial is provided without warranty and without any entitlement to support; we may end it or change its scope at any time. b) Subscription (monthly or yearly) — a Licence for the Paid period which renews under Art. 10. c) Manually invoiced Licence — for the period stated in the invoice or licence certificate (month, year) or without time limit (“perpetual”). A perpetual Licence is not an entitlement to all future versions [OPEN: how many updates it includes] and requires working verification under Art. 5. 4.4 Moving to another computer. If you replace or reinstall a computer, enter the key on the new Computer and the Licence moves to it; we learn of the move. Repeated moving so that in practice more Computers use the Licence than it allows is a breach of the agreement (Art. 7). If you need more computers, write to us. 4.5 Reservation of rights. Rights not expressly granted to you here are reserved. The Program is licensed, not sold. 4.6 Offer of our products in the Program. The Program shows a small card promoting our other products (CutForge). The link opens a browser only after you click it, nothing is tracked, and you can hide the card. 5. Activation and online verification 5.1 When you enter a licence key, the Program connects to the Server over an encrypted connection (HTTPS), the Licence is bound to your Computer and the Server returns a signed licence token. 5.2 What is sent: the licence key; the Computer identifier (an irreversible fingerprint of the motherboard serial number and processor ID; failing that, of the Windows installation identifier or of the computer name), including alternative fingerprints; an installation identifier (fingerprint); the product designation; the Program version; the Windows version. The IP address is technically unavoidable with every internet connection. Not sent: drawings or their content, file names, paths, NC1 files, user name or company name. Details are in Annex A. 5.3 Silent check. While the Program is running and connected, it verifies the Licence about every 12 hours (sooner after a failure, at the latest after one hour); you can also trigger it with the “Verify now” button. The Server then renews the token or reports that the Licence has expired, has been blocked or has moved to another Computer. 5.4 Without internet. The Licence works without internet for up to 30 days after the last successful verification. The Program warns you 7 days before the end. If the Licence cannot be verified for 30 days, saving NC1 files and exporting plates is suspended until the Program connects and verifies the Licence. Viewing drawings remains available. An incorrectly set date or time on the Computer may make verification impossible. 5.5 Expiry and blocking. After the Paid period ends (including the technical reserve under Art. 10.6) saving NC1 files is suspended. We may block the Licence in case of a material breach of the agreement (Art. 16.3). 5.6 Server availability. We aim for uninterrupted operation but do not guarantee it. A Server outage does not affect your work during the “without internet” period under 5.4. 6. Duty to check every NC1 before production 6.1 Before cutting, drilling or burning material according to an NC1 file from the Program (or from the Service under Art. 9) you are obliged to check every NC1 file. In particular: a) compare the part preview in the Program with the original drawing — profile, length, cutting angles, number and position of holes, cut-outs, part mark, quantity, mirrored parts; b) use the simulation or preview in your machine’s control software; c) for a new type of part or a new machine, inspect the first produced piece before the series; d) never produce parts with the status ⚠ or ✗, or parts with a warning, without a thorough manual check. 6.2 The check is done by a qualified person and forms part of your production and quality management system (e.g. under EN 1090, if it applies to you). The Program does not replace it. 6.3 You are responsible for the correctness, completeness and scale of the input drawings, for the choice of profile, material and technology, for the machine settings and for assessing whether the part conforms to the design and structural requirements. 6.4 After every update of the Program the same drawing may give a different result. The check also applies to NC1 files created again by a new version. 6.5 The same duties apply to NC1 files delivered by the Service (Art. 9). Manual processing by our team is not a guarantee of freedom from errors. 7. Restrictions 7.1 Except to the extent expressly permitted by law or Art. 15, you may not: a) reverse engineer, decompile or disassemble the Program, its licensing mechanisms or its communication with the Server, or try to obtain the source code; b) modify or translate the Program or create derivative works from it; c) sell, rent, lend, sublicense, share or otherwise make the Program, licence key or access available to a third party; d) circumvent, disable or deceive the licensing mechanisms and the Trial limit — in particular tamper with the counter files and registry entries, change or clone the Computer identifier, change the clock, redirect communication to another server, or abuse the moving of a Licence to run it on several Computers; e) remove copyright and trademark notices; f) overload the Server, send it automated requests outside the Program, or attempt to break into it; g) use the Program for unlawful activity or to infringe the rights of third parties; h) send through the Service files other than DXF drawings, or malicious code. 7.2 Keep your licence key secret. You are responsible for use under your key. Report any misuse to us without delay. 7.3 Statutory rights (e.g. to make a backup copy, or to decompile to the extent necessary for interoperability under the Copyright Act) are not affected. 8. Customer drawings and data 8.1 Drawings stay with you. The Program processes drawings and creates NC1 files locally on your Computer. Nothing from your drawings is sent automatically. The drawings and NC1 files remain yours (or your customers’ or designers’); apart from the rights under 8.4 we claim no rights to them. 8.2 We receive only what you send. A drawing is sent to the Server only if you yourself choose “Send for processing” in the Program, select the drawing, confirm your consent and click “Send” (or you e-mail us the drawing yourself — the same terms apply). What is sent: the original drawing file, its name and SHA-256 fingerprint, the Program’s messages about the drawing (without paths to files on your computer), your note and reply e-mail address (if you fill them in), the Program version, the Windows version, the language, and the sender identification (licence key and Computer identifier; for the Trial the trial Computer identifier). 8.3 Purpose. We use a drawing (a) to handle your request and deliver the NC1, and (b) to improve the Program — in particular to correct recognition and for testing — to the extent you consented to when sending. We do not use it for any other purpose, do not publish it, do not sell it and do not give it to third parties for their own purposes. Technical suppliers (server hosting, e-mail service) may have technical access to the data only as our processors under Annex B. 8.4 Licence to sent drawings. By sending, you grant us a non-exclusive, royalty-free, worldwide right to copy, view and modify the sent drawing solely internally for the purposes under 8.3, for the retention period under 8.6. Improvements to the Program that result from this are ours. 8.5 Your statements. By sending, you declare that you have the right to send the drawing, that you do not breach any confidentiality obligation or third-party rights (e.g. an NDA with an investor or designer), and that the drawing contains no data that does not belong there. Do not send confidential drawings through the Service. You are responsible for third-party claims arising from sending a drawing without authorisation. 8.6 Retention. We keep the original and the result while processing and then for at most [PROPOSAL: 12 months] after the request is completed; then we delete them. The exception is drawings which, within the scope of your consent, we have kept as an internal test sample to improve the Program — these are kept internally only, for as long as the Program is being developed. At your request we delete the drawing and result within [PROPOSAL: 30 days] (Server backups are overwritten in the normal cycle). 8.7 Confidentiality. We treat drawings as confidential. Only the Provider and persons who take part in the processing and are bound by confidentiality have access to them. 8.8 Personal data in drawings. Drawings should not contain personal data other than ordinary data in the title block (e.g. the designer’s name). We do not search for such data and do not use it for any purpose other than technical processing. When delivering an NC1 we act in relation to it as your processor under Annex B. Licence, billing and technical data about you are processed by us as controller (Annex A). 8.9 What the Program stores on your side. In the folder %LOCALAPPDATA%\CutForge\Converter (licence, Trial counter, list of sent drawings, update state) and in the registry HKCU\Software\CutForge\DXF2NC1 (backup of the Trial counter). You may delete them after uninstalling; deleting the Trial counter does not reset it because we keep it on the Server too. 9. “Send for processing” Service (24 hours, fair use) 9.1 What it is. If the Program does not read a drawing (✗) or reads it wrongly, you can send it to us under Art. 8. Our team processes it and prepares an NC1, which you download directly in the Program (the “Sent drawings” window), or receive as a link or attachment by e-mail. 9.2 Time frame. We deliver the NC1 within 24 hours of receiving the drawing on business days (Monday to Friday, excluding Slovak public holidays) for up to 10 drawings per business day per Licence; drawings above this number are processed within 3 business days. This is a target, not a guarantee or an agreed deadline. The time may be longer for complex, damaged or incomplete drawings, in case of a technical outage, or if we need further information. A delay does not give rise to any contractual penalty or compensation. [OPEN: pro-rata discount or right to end the subscription if the target is repeatedly missed] 9.3 Scope and fair use (FUP). The Service is included in the Licence price for up to 50 drawings per calendar month per Licence (also for a yearly Licence; unused drawings do not carry over to the next month); for the Trial, up to 5 drawings in total. One drawing = one DXF file with at most 10 parts; a file with more parts counts as as many drawings as it has started tens of parts (a file with 25 parts = 3 drawings). A file may be at most 50 MB. Drawings above the FUP may be processed for a fee by agreement, or the request may be declined. We may also reject a request if the drawing is not a steel part, is incomplete or illegible, is not a DXF, or in case of abuse — and we will state the reason where possible. Some drawings cannot be converted. The Program itself does not limit the number of drawings you convert on your computer (except the Trial, Art. 4). 9.4 Nature of the result. An NC1 from the Service is an aid; Art. 6, 12 and 13 apply. It is not an engineering, design or structural analysis service. 9.5 Success figures (e.g. the share of single-part drawings converted automatically) on the website and in promotional material are statistical, refer to a test set of drawings and are not a guarantee for your drawing. 10. Price, payment, renewal and cancellation 10.1 Prices are as per the price list at dxftonc1.com at the time of order [at the time of this draft €39 per month or €300 per year]. At the time the Agreement is concluded the Provider is not VAT-registered; the prices are therefore final and no VAT is added. If the Provider becomes VAT-registered, prices will be stated excluding VAT and VAT will be added under the applicable rules (for businesses in another EU Member State with a valid VAT ID, the reverse charge applies); we will announce the change in advance under Art. 18. For businesses in another EU Member State with a valid VAT ID the reverse charge already applies (the Provider holds a VAT ID under §7a). 10.2 Subscription through the website. Payment is made through Stripe (Stripe Payments Europe, Ltd.); we do not receive your card details. Stripe issues the invoice. The subscription renews automatically for the same period at the price valid at the time of renewal. We will announce a price change at least [PROPOSAL: 30 days] before renewal; if you do not agree, cancel the subscription before renewal. 10.3 Manual invoicing. We issue a monthly, yearly or perpetual Licence on the basis of an invoice, due as stated in the invoice [PROPOSAL: 14 days]. We send the licence key after payment or as agreed. In case of late payment we may, after a reminder, suspend the Licence and claim default interest under the law. 10.4 We send the licence key to the e-mail address given when ordering. 10.5 Cancellation. You may cancel the subscription at any time (in the Stripe customer portal or by e-mail). Cancellation takes effect at the end of the Paid period — the Licence runs to the end of the paid period and is then not renewed. No refund is given for the unused part of the Paid period. 10.6 Technical reserve. The Licence’s validity on the Server ends three (3) days after the end of the paid period, so that a late payment does not stop production. This is a technical aid, not an extension of the Paid period. If payment does not arrive, saving NC1 files is suspended after the reserve. 10.7 Failed payment. Stripe retries the payment under its own rules. If it is not paid, the Licence ends under 10.6. After payment it is restored with the same key. 10.8 Refunds. Fees paid are not refunded except where the law requires it. [OPEN: consider a money-back guarantee, e.g. within 14 days of the first payment, if the Program demonstrably does not work on your typical drawings] The Trial exists for trying the Program. 10.9 Because the Program is intended for businesses, consumer provisions (e.g. withdrawal from a distance contract) do not apply. 11. Updates and support 11.1 At start-up (at most once per 24 hours) and on a manual check, the Program checks whether a new version is available. It sends only the platform and the Program version. You can switch off the automatic check in Settings (“Automatically check for updates”). 11.2 You install the new version. The Program offers it and only after you click “Download and install” does it download the installer, verify its checksum (SHA-256) and start the installation (Windows may ask for administrator permission). Nothing is installed without your click. 11.3 Updates are included in a subscription and in a fixed-term Licence during the Paid period; for a perpetual Licence [OPEN]. An update may add, change or remove features, change the recognition algorithms, the appearance and the format of outputs (see 6.4). A newer version may be needed for the Program to work with the Server; we may stop supporting older versions with at least [PROPOSAL: 60 days] notice, unless security or the law prevents this. 11.4 Support is by e-mail at cutforge@cutforge.eu on business days, with reasonable effort and without a guaranteed response time. When reporting a defect, send a sample drawing, the resulting NC1 and a description. Support does not include individual modifications or training. 12. Warranty 12.1 We provide the Program “as is”. We undertake to use reasonable effort so that the Program works substantially as described in the documentation and on the website, and to fix reported reproducible defects in a later version without undue delay. We give no other warranty. 12.2 In particular we do not guarantee that the Program will be error-free and uninterrupted, that it will read every drawing, that every NC1 will be correct, complete or suitable for your machine, that the Server will always be available, that you will achieve a particular rate of automatic success, or that the same drawing will give the same result after an update. 12.3 Where the law does not allow a warranty to be excluded, the statutory warranty applies to the minimum extent. Report defects without undue delay after discovering them [PROPOSAL: within 30 days at the latest]. 12.4 The Trial and the Service in trial mode are provided without any warranty. 13. Limitation of liability 13.1 To the extent the law allows, we are not liable for indirect, consequential or special damage or for lost profit, and in particular not for: wasted or damaged material (scrap, wrong cuts and holes), the cost of repeating production, machine or workshop downtime, damage to a machine or tooling, contractual penalties and claims by your customers, loss of an order, loss of data, or damage caused by the NC1 not having been checked before production under Art. 6. 13.2 The Provider’s total liability for all claims connected with this agreement and the Program (together, not per claim) is limited to the amount you actually paid us for the Licence in the 12 months before the event giving rise to the claim. If you paid nothing (Trial, free beta version), it is [PROPOSAL: €100]. 13.3 The limitations do not apply where the law forbids them — in particular for damage caused intentionally and for injury to health. 13.4 You must prevent and mitigate damage (check under Art. 6, backups). Make any claim in writing without undue delay after you learn of the damage. [OPEN: time limit for claims — lawyer] 13.5 You will compensate us for damage we incur through sending a drawing without authorisation (8.5) or through a breach of Art. 7. 14. Intellectual property 14.1 The Program, its source code, appearance, documentation, names and logos (CutForge, CutForge Converter) are protected by copyright and trademark law; all rights belong to the Provider or its licensors. Nothing is transferred other than the licence under Art. 4. 14.2 Outputs of the Program (NC1, PDF, plate DXF) are yours and you may use them without restriction, including after the Licence ends. 14.3 You may give us ideas, suggestions and defect reports; we may use them free of charge. 15. Third-party components 15.1 The Program contains third-party components. Each is governed by its own licence; their list and the licence texts are in the file THIRD_PARTY_LICENSES.txt in the Program folder. To the extent they apply to a given component, those licences prevail over this agreement. 15.2 Qt and PySide6 (LGPL v3). Qt and PySide6 are provided under the GNU LGPL v3 licence. They are part of the Program as separate files (DLL and PYD libraries) in the Program folder. Nothing in this agreement restricts your rights under the LGPL v3 in respect of these components. In particular you may replace these libraries with your own or a modified compatible version; for that purpose, and to debug such a change, modifying them and reverse engineering the Program to the extent necessary are also permitted — the prohibition in Art. 7.1(a) and (b) does not apply to this. The source code of Qt and PySide6 is available at https://download.qt.io and https://code.qt.io; on request we will provide it to you (cutforge@cutforge.eu). 15.3 Other components (e.g. ezdxf, NumPy, openpyxl) are governed by their own licences (MIT, BSD and the like) listed in THIRD_PARTY_LICENSES.txt. 15.4 Microsoft Visual C++ Runtime. The Microsoft Visual C++ Runtime components (files vcruntime140*.dll, msvcp140*.dll) are owned by Microsoft Corporation or its suppliers. You may use them only together with the Program on the Windows operating system, you must not alter their copyright notices or distribute them separately; Microsoft has no liability to you for them. 16. Term and termination 16.1 The Licence lasts: for a subscription, until the end of the Paid period (including renewals); for a fixed-term Licence, until the end of the term; for a perpetual Licence, without time limit until terminated under 16.3 or 16.4. 16.2 You may terminate the agreement at any time by ceasing to use the Program and uninstalling it. Fees paid are not refunded (Art. 10). 16.3 We may terminate the agreement with immediate effect and block the Licence if you materially breach the agreement — in particular Art. 4 and 7 (circumventing the licence, sharing the key), or you do not pay even within an additional period of [PROPOSAL: 7 days] after a reminder, or you abuse the Service. If the breach can be remedied, we first call on you to remedy it. We may end the Trial at any time. 16.4 End of operation. If we were forced to end the operation of the Server or the Program, we would announce it at least [PROPOSAL: 12 months] in advance and, for perpetual Licences, allow continued use without verification on the Server, or refund the price pro rata. [OPEN: decide which option] 16.5 After the Licence ends, stop using the Program and uninstall it. NC1 files and other outputs already created remain yours. Viewing drawings in the Program remains free. Provisions which by their nature are meant to continue (in particular Art. 6, 7, 8.3 to 8.8, 12 to 15, 19 and 20) remain in force. 17. Export and sanctions You may not export, use or make the Program available in breach of EU, Slovak and US export-control and sanctions law, or to persons or in countries subject to sanctions. You declare that you are not such a person and are not owned or controlled by one. In case of breach we may block the Licence. 18. Changes to the agreement We may change this agreement, in particular because of a change in law or in the Program’s features. The new version applies to new versions and new Licences from publication. It does not apply to a current Paid period if it would put you at a disadvantage; otherwise it applies from the next renewal, and we will announce the change at least [PROPOSAL: 30 days] in advance (by e-mail, in the Program or on the website). If you do not agree, cancel the subscription before renewal. The current text is at dxftonc1.com (the version and date are in the header). 19. Governing law and disputes 19.1 The agreement is governed by the law of the Slovak Republic (in particular Act No. 185/2015 Coll., the Copyright Act, and Act No. 513/1991 Coll., the Commercial Code); conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods do not apply. 19.2 We will first try to resolve disputes by agreement within 30 days of a written notice. Failing that, the court of the Slovak Republic with subject-matter and local jurisdiction according to the Provider’s registered office decides. [OPEN: foreign customers (CZ, PL, DE) — court or arbitration] 20. Language The agreement is made in Slovak with an English translation. The Slovak text is binding; the English text is for information only and in case of conflict the Slovak text prevails. Other language versions of the program and the website are only an aid. 21. Final provisions 21.1 If any provision is invalid, the others remain in force; the invalid one is replaced by a valid one closest to its purpose. 21.2 Without our written consent you may not assign your rights and obligations under the agreement. We may assign them to a successor who takes over our obligations. 21.3 We send notices by e-mail to the address given when ordering or in the Licence; you send them to us at cutforge@cutforge.eu. You are responsible for keeping your e-mail address up to date. 21.4 Neither party is liable for a breach caused by force majeure. 21.5 Consent given electronically (click, activation, confirmation at payment) is valid. The Server’s records of activation (time, Program version, version of this agreement) serve as evidence. 22.
